1. What Startr Is

Startr, a product of Actus LLC ("the Platform", "we", "us") is a networking service that connects founders and entrepreneurs for the purpose of professional co-founder discovery. Startr, a product of Actus LLC is a tool, not a guarantor. We do not vet, endorse, verify, or vouch for any user, their claims, their startups, their qualifications, or their intentions.

Any business relationship, agreement, or partnership formed through Startr is entirely between the parties involved. Startr, a product of Actus LLC is not a party to any such arrangement and accepts no liability for outcomes arising from connections made on the Platform.

2. Eligibility

The Platform is intended solely for users located within the United States. By registering, you represent and warrant that you are a resident of the United States and are accessing the Platform from within the United States.

• You must be at least 18 years old to use Startr.
• You must be a human individual — automated accounts, bots, and scrapers are prohibited.
• You must have the legal capacity to enter into binding agreements in your jurisdiction.
• You must not be banned or previously removed from Startr for violations.

3. Account Responsibility

You are solely responsible for all activity that occurs under your account. You must keep your credentials secure. Startr, a product of Actus LLC is not liable for unauthorized access resulting from your failure to secure your account. You agree to notify us immediately at startrsupport@gmail.com if you suspect unauthorized use.

You agree that all information in your profile is accurate, current, and not misleading. Deliberate misrepresentation — including fabricated credentials, fake employment history, or false funding claims — is grounds for immediate and permanent account termination.

4. User Interactions Disclaimer

YOU ARE SOLELY RESPONSIBLE FOR YOUR INTERACTIONS WITH OTHER USERS. YOU UNDERSTAND THAT STARTR DOES NOT CONDUCT CRIMINAL BACKGROUND CHECKS ON ITS USERS OR OTHERWISE INQUIRE INTO THE BACKGROUND OF ITS USERS. STARTR MAKES NO REPRESENTATIONS OR WARRANTIES AS TO THE CONDUCT, IDENTITY, INTENTIONS, OR FINANCIAL STATUS OF USERS. STARTR RESERVES THE RIGHT - BUT HAS NO OBLIGATION - TO CONDUCT ANY CRIMINAL BACKGROUND CHECK OR OTHER SCREENINGS (SUCH AS SEX OFFENDER REGISTER SEARCHES) AT ANY TIME USING AVAILABLE PUBLIC RECORDS.

5. Acceptable Use

You agree to use Startr only for lawful professional networking purposes. You must not:

• Harass, threaten, abuse, defame, or intimidate any other user
• Solicit money, investment, or financial instruments from other users through the Platform
• Use the Platform to recruit for roles unrelated to co-founding
• Post spam, unsolicited commercial messages, or chain correspondence
• Impersonate another person or entity
• Scrape, crawl, or extract user data without written permission
• Use the Platform to facilitate illegal activity of any kind
• Circumvent security measures or attempt unauthorized system access

6. Account Termination

You may delete your own account at any time from your profile settings. Upon deletion, your profile data will be removed from discovery within 48 hours, though residual copies may persist in backups for up to 90 days.

7. Intellectual Property

You retain ownership of content you post. By posting, you grant Startr, a product of Actus LLC a non-exclusive, royalty-free, worldwide license to display, distribute, and promote that content within the Platform. You warrant that you have the rights to grant this license.

Startr, a product of Actus LLC's branding, design, code, and proprietary content are protected by copyright. You may not reproduce or redistribute them without written permission.

8. Disclaimers and Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL STARTR, ITS AFFILIATES, DIRECTORS, OR EMPLOYEES BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM OR ANY OFFLINE MEETINGS WITH OTHER USERS.

UNDER NO CIRCUMSTANCES WILL STARTR'S AGGREGATE LIABILITY FOR ANY CLAIMS RELATING TO THE PLATFORM EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS ($100.00 USD) OR THE AMOUNT YOU PAID STARTR, IF ANY, IN THE PAST 12 MONTHS. THIS LIMITATION APPLIES WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER BASIS.

9. Indemnification

You agree to indemnify and hold harmless Startr, a product of Actus LLC, its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including legal fees) arising from your use of the Platform, your content, or your violation of these Terms.

10. Governing Law and Dispute Resolution (Binding Arbitration)

These Terms shall be governed by the laws of the State of Florida, without respect to its conflict of laws principles. The Federal Arbitration Act (FAA) governs the interpretation and enforcement of this arbitration agreement.

Binding Arbitration: ANY DISPUTE, CLAIM OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS OR THE BREACH, TERMINATION, ENFORCEMENT, OR VALIDITY THEREOF, SHALL BE DETERMINED BY FINAL AND BINDING ARBITRATION IN MIAMI-DADE COUNTY, FLORIDA, BEFORE A SINGLE ARBITRATOR. The arbitration shall be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules.

Class Action Waiver: YOU AND STARTR AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate another person's claims with your claims, and may not otherwise preside over any form of a representative or class proceeding.

11. Changes to These Terms

We may modify these Terms at any time. We will notify you via email or in-app notice at least 14 days before material changes take effect. Continued use of the Platform after changes take effect constitutes acceptance of the new Terms.
